Fleming Companies, Inc.

Opportunity:
Fleming Companies, Inc., the industry leader in the wholesale distribution of consumable goods, has a growing presence in operating "price impact" supermarkets. Through its distribution segment, Fleming distributes products to customers that operate approximately 3,000 supermarkets, 6,800 convenience stores and over 2,000 supercenters, discount stores, limited assortment stores, drugstores, specialty stores and other stores across the United States.

Cardinal Solution:
Fleming Companies and Cardinal Capital Partners began discussing a $150 million, six-property distribution facility sale-leaseback transaction in mid-May 2002. Contracts were signed the end of May, and the 4.3 million-square-foot, 305-acre transaction was completed on June 28, 2002.

Not only did Cardinal Capital Partners assist Fleming Companies in meeting their financial goals, but we also performed our obligations with exactness while under intense pressure from the tenant. We also operated within an extremely aggressive time frame and in the midst of constantly changing property-level information.
